Component License Agreement
This License Agreement ("License") governs the use of TouchDesigner components, shaders, scripts, and related files ("the Product") created by Nicklas Mathews, trading as Decaying Sun ("Licensor"). By downloading, purchasing, or otherwise obtaining access to the Product, the recipient ("Licensee") agrees to the terms below.
1. WHAT IS GRANTED
Decaying Sun grants you a non-exclusive, non-transferable license
to use the Product, subject to the scope defined below. This is a
license to use the Product. It is not a sale or transfer of
ownership of the Product, its source code, or any underlying
intellectual property. Decaying Sun retains all right, title, and
interest in the Product at all times.
2. PERMITTED USE
You may use the Product in your own personal or commercial work,
including paid client projects and deliverables for studios,
companies, agencies, or productions. You may adjust its parameters
and integrate it into your own setup as needed. The deliverable
you create using the Product (renders, footage, visuals, output)
belongs entirely to you and/or your client under whatever
agreement governs that work; this License places no restriction
on output.
3. MULTI-SEAT / TEAM USE
This License covers use by you as a single person. If more than
one person within a studio, team, or organisation needs to use
the Product, whether operating it directly or through contractors
integrated into an internal pipeline, contact Decaying Sun before
doing so. This does not apply if an external freelancer holding
their own valid license operates the Product independently to
deliver work to an organisation; in that case the organisation
does not need its own license for that engagement.
4. PROHIBITED USE
You may not, under any circumstance:
- Share, sell, sublicense, or pass on the Product to anyone else,
whole or in part, in any form, original or altered
- Pull out, copy, or repurpose any shader logic, algorithm, or
implementation detail from the Product for use elsewhere
- Study or take apart the Product's internal workings in order to
build something similar
- Use the Product as a basis for a tutorial, course, or breakdown
without asking first
- Remove or change any copyright notice, attribution, or version
information embedded in the Product
- Present the Product, or any part of it, as your own work
These restrictions apply only to the Product as authored by
Decaying Sun. They do not extend to general techniques, methods,
or publicly available source material that may have informed the
Product's development.
5. OWNERSHIP AND COPYRIGHT
The Product, including all source code, shaders, scripts, and
associated files, is and remains the exclusive intellectual
property of Decaying Sun. All rights not expressly granted in
this License are reserved. Each released version of the Product
carries the notice: "(c) [2026] Nicklas Mathews / Decaying Sun."
6. PURCHASE TYPES
6.1 Subscription Access
Subscription access grants you the right to use all Products made
available under your subscribed tier for as long as the
subscription remains active. Upon cancellation or lapse of
payment, the license to use newly released Products ends; Products
already downloaded during an active subscription may continue to
be used under the scope held at the time of download, but you will
no longer receive updates, new releases, or support.
6.2 One-Time Purchase
A one-time purchase grants you a perpetual license to use the
specific Product purchased, including any future updates Decaying
Sun may release for that Product. Future updates are not
guaranteed and are released at Decaying Sun's discretion. A
one-time purchase does not grant any license to other Products in
the catalog, nor to future Products generally.
7. NO WARRANTY
The Product is provided "as is," without warranty of any kind,
express or implied. Decaying Sun does not guarantee the Product
will be free of errors or fit for any particular purpose. Decaying
Sun is not liable for any damages, losses, or costs arising from
use of the Product.
8. TERMINATION
Decaying Sun may terminate this License for a given user if its
terms are materially breached, including the Prohibited Use in
Section 4. Upon termination, you must cease using the Product.
Termination does not affect deliverables already created and
delivered to third parties prior to termination.
9. GOVERNING LAW
This License is governed by the laws of Denmark, without regard
to conflict of law principles, unless otherwise agreed in writing
for a specific commercial or studio agreement.
